Corporate Lawyer, Creighton Law LLP

Jan-May 2023; Oshawa, Ontario In this role, I executed Share and Asset Purchase Transactions as the firm’s sole Corporate Commercial Lawyer. I facilitated Incorporations and Corporate Reorganizations. I drafted various Corporate Commercial agreements including Asset Purchase Agreements, Share Purchase Agreements, Shareholders’ Agreements and Partnership Agreements. I supervised my Corporate Law Clerk’s completion of Annual Corporate Resolutions, Reporting Letters and Statements of Account. I managed client relations, wrote client correspondence and liaised with internal legal team and opposing counsel.

In-House Legal Counsel, Thales Canada

Jan - Aug 2022; North York, Ontario In this role, I transferred corporate contractual rights and obligations to a subsidiary in anticipation of the sale of a large business unit. I reviewed foreign and domestic Procurement Agreements, Sub-Contracting Agreements, Customer Service Agreements, Engineering Licenses, IT Software Licenses and Purchase Orders to identify, inter alia, continuing legal obligations, change of control restrictions, assignment restrictions and anti-corruption provisions in order to assess contractual transferability. I advised corporate stakeholders on the appropriate means of transfer by way of Assignment or Novation. I drafted a multitude of Novation Agreements in addition to various Assignment Agreements. I liaised with the internal Procurement Department, various suppliers and their counsel to facilitate the execution of Novation Agreements and I amended Thales Standard Terms and Conditions.

Nov 2020 - May 2021; Kitchener, Ontario In this role, I delivered comprehensive legal support to 5 partners; drafted contracts, including Partnership Agreements, Shareholder Agreements, Asset Purchase Agreements and Share Purchase Agreements. I also conducted legal research, managed client relations, wrote client correspondence and liaised with the internal legal team and opposing counsel.

January - April 2020; Burlington, Ontario In this role, I reported directly to the controlling Lawyer at a law firm that specializes in Employment Law. I conducted corporate by-law reviews, conducted legal research using LexisNexis and Westlaw, drafted pleadings and kept detailed dockets. I attended numerous examinations for discovery and spoke in court in my capacity as Student-at-Law.
