Advaith Govind

Advaith is a banking and finance lawyer with 6+ years of experience, and currently serves as Chief Manager (Legal) in the Corporate Legal Group at ICICI Bank Ltd. He specializes in drafting, reviewing, and negotiating a wide range of credit and lending agreements, loan and security documentation, and transaction-related documents across fund-based and non-fund-based facilities, trade finance, structured finance products, and supply chain financing. • Advising all business stakeholders across diverse portfolios, including WBG, SME, Microfinance, Corporate Real Estate, Supply Chain Finance, Transaction Banking.
• Reviewing and structuring of term sheets for lending and non-lending transactions, covering security, covenants, and risk allocation in line with internal standards.
• Advising on product development and delivering end-to-end legal support across structuring, documentation, regulatory compliance, and execution of complex transactions.
• Developing and implementing legal risk mitigation and collaborating with legal, credit, risk, and business teams to ensure efficient transaction execution.
• Liaising with regional and international counsel to support cross-border and domestic financing transactions.
• Drafting, reviewing, and negotiating fund-based and non-fund-based lending and facility agreements, including security documents, guarantees, indemnities, and related authorisations, powers of attorney, and correspondence.
• Reviewing and negotiating standard form agreements across lending, non-lending, trade finance services, and service provider arrangements.
• Handling court cases against the Bank for service or operational issues, overseeing litigation strategy, and liaising with external counsel for drafting and filing court•
• Drafting policy notes at an organisational level for consideration by senior management.
• Formulating standardised templates and policy notes, and organising regular workshops for business, credit, documentation, and risk monitoring teams.
