2 November 2022 to Present – Sulzer – In-house Legal Counsel
Reviewing, drafting, advising on and negotiating commercial contracts and, advising on data protection, intellectual property, employment, HR, debt recovery, and commercial disputes. In addition, I've worked on private company acquisitions and handled matters, such as: reviewing legal due diligence documentation; reviewing the warranties and negotiating a seller’s disclosure letter and drafting the sale and purchase documents for M&A deals. I have drafted principal documents, such as: the sale and purchase agreement; shareholder’s agreement; articles of association; option agreements; and declaration of trusts.
I have also drafted various ancillary documents, such as: board minutes of the buyer and target; written resolutions; direction letters; stock transfer forms; s431 election forms; subscription letters; letters of directors’ resignations and appointments; deeds of waivers; share certificates; and PSC letters. In addition to mergers and acquisition work, I assisted with corporate restructuring matters and provided advice on other company and commercial matters.
